Web Membership Terms
- Article 1 (Purpose)
- The "Web Member Terms and Conditions" (hereinafter referred to as "these Terms and Conditions") apply to those who use the Aoyama Clothing Online Store, QualityOrderSHITATE, hare:kari, and the Aoyama Clothing App (hereinafter referred to as "the Service") operated by Aoyama Trading Co., Ltd. (hereinafter referred to as "the Company"), as well as those who receive other related services (hereinafter referred to as "Web Members").
- Article 2 (Web Membership)

- 1. Web Members are individuals who meet any of the following criteria when using and receiving the Service.
- (1) Those who apply for new membership to this service
- (2) A person who already has an Aoyama Membership Card at an Aoyama Clothing store and has applied for web integration with this service.
- 2. The membership types that will be applied according to the items of the Web membership registration will be as follows.
- (1) Student members of universities, junior colleges, vocational schools, etc.
- (2) Tie-up members such as employees, staff, or union members of a company, organization, or union that has entered into a partnership agreement with Aoyama Clothing
- (3) General members other than those listed above
- 3. The following restrictions shall apply to the Student Members specified in the preceding paragraph (1).
- (1) If you are currently enrolled or planning to enroll in a university, junior college, or vocational school, your membership period will be until the end of the year you are scheduled to graduate from the university or vocational school at the time of enrollment, and the discount service for Web members specified in Article 4 will be terminated at the end of the year you are scheduled to graduate. However, the point service specified in Article 4 will continue even after the discount service is terminated.
- (2) If you are still a student after the end of the year in which you are scheduled to graduate, we will check your student ID or other proof of enrollment and proceed with the renewal procedure for the designated discount service.
- 4. If an applicant for membership (including those who have joined as a Web member; the same applies below) falls under any of the following items, the Company may not approve the application for membership and may cancel the Web membership. In such cases, the Company will not disclose the reason.
- (1) If it is discovered that the person wishing to join is a web member who has since cancelled his/her membership.
- (2) If it is discovered that the person wishing to become a member has previously been subject to cancellation of his/her web membership registration or other penalties due to a violation of these Terms and Conditions.
- (3) If any false information is included in the registration application at the time of joining.
- (4) Any other case in which the Company determines it is inappropriate to approve the membership application.
- 1. Web Members are individuals who meet any of the following criteria when using and receiving the Service.
- Article 3 (Provision, Use and Management of IDs and Passwords)

- 1. Our company will lend an ID and password issued by our company to Web members whose registration has been approved.
- 2. When a Web Member is provided with an ID and password, he/she shall use and manage the ID and password with the due care of a prudent manager.
- 3. Web members may not lend or transfer their ID and password to others.
- Article 4 (Provision of discount and point services)
- Web members can receive point services (points granted and points returned) from our company for purchases made using this service in accordance with the provisions of these terms. However, for purchases made within malls operated and managed by third parties (such as Rakuten), our company does not provide the specified discount services or point services. Therefore, our company will not grant points to Web members, and Web members will not be able to make purchases using point returns (discounts).
- Article 5 (Point Granting)

- 1. When using this service to purchase products as specified in Article 6, the Company will, in principle, award 1 point for every 200 yen (tax included) (rounded down to the nearest 200 yen (tax included)) of the total purchase price (tax included).
- 2. The points referred to in the preceding paragraph will be added to and accumulated as the Web Member's points on the day after the points are awarded by our company.
- 3. The Company may, at its discretion, grant limited-time points or limited-use points to Web members. In such cases, the Company will notify the terms and conditions of granting such limited-time points or limited-use points, as well as the terms and conditions of use, etc., of each such point.
- Article 6 (Point Eligible Products)
- Products eligible for points are men's clothing, women's clothing, accessories, etc. sold to Web members through this service (hereinafter referred to as "Target Products"), but points are not awarded for transactions related to alteration processing (the cost of alteration is not included in the product price and will be charged separately), AOYAMA gift cards, and product delivery.
- Article 7 (Point Redemption (Discount))
- The Company shall provide a refund (discount) on points granted to Web members (points held by Web members) in accordance with Article 5 in the manner set forth below. However, point refunds (discounts) will not be provided at outlet stores operated by the Company.

- (1) Points will be returned (discounted) to Web Members when they use their points to pay for the purchase price (tax included) of applicable products made using this service.
- (2) When points are redeemed (discounted), 1 point will be calculated as 1 yen (tax included) and the amount equivalent to the total points that the Web member wishes to receive as a redemption (discount) (hereinafter referred to as the "redemption amount (discount amount)"). Note that points can be redeemed (discounted) in units of 1 point.
- (3) The method of point redemption (discount) for Web members shall be to deduct (deduct) the amount of the redemption (discount) for the Web member calculated in the previous paragraph from the purchase price (including tax) of the applicable product for the Web member. Points cannot be exchanged for cash or gift certificates.
- (4) The points redemption (discount) referred to in the preceding paragraph can be made by the Web Member entering the information required for applying for the points redemption (discount) (information related to identity verification, the number of points to be redeemed (discounted), etc.) when making a purchase for an applicable product using this service.
- Article 8 (Point Validity Period and Cancellation)

- 1. The validity period of points will be three years from the first April 1st following the day the points are awarded, and the points will expire upon the expiration of the validity period.
- 2. When a Web Member cancels a purchase for which points were awarded after the points were awarded to him/her, or when the Company deems it appropriate to cancel points awarded to a Web Member in connection with the purchase of other eligible products, the Company may cancel the points awarded to him/her.
- 3. If any of the following events occur to a Web Member, our company may immediately cancel all or part of the points held by that Web Member without prior notice to that Web Member.
- (1) When an illegal or fraudulent act has occurred.
- (2) When there is an act that violates the provisions of these Terms and Conditions.
- (3) When you lose your Web membership status
- (4) Any other reason that is deemed appropriate to cancel the points held by a Web Member occurs.
- 4. The Company shall not provide any compensation or bear any responsibility whatsoever for points that have become invalid due to the expiration of the validity period under Paragraph 1, or points that have been cancelled under Paragraphs 2 and 3.
- Article 9 (Acquisition and retention of Web member information)
- The information that the Company collects about Web members of this service includes name, address, telephone number (including mobile phone number), email address, date of birth, gender, password, Web member type information (non-student/student, school name, grade, year, etc./employee, staff member or union member of a company, organization or union that has entered into an alliance agreement with Aoyama Clothing, name of affiliated company, etc.), device identification information (including but not limited to individual device identification information, model name, OS version, device language setting), other information entered or provided by Web members in relation to the use of this service, log information and behavioral history information (IP address, usage environment, usage area, etc. that are automatically generated and saved upon use, date and time of request from the user, information related to the service or product, etc.). You agree to the collection of personal information (such as usage and purchase history, website and app browsing history, ad viewing history, posted ad data, posted ad click information, information on the time of browsing, clicking, etc., and in-app operation history), location information (location information sent from Web members' smartphones, tablets, and other information devices, etc., within the scope necessary to provide services that utilize information such as the Web member's current location), cookie information, and any other information incidental or related to these (hereinafter referred to as "Web Member Information"), and to the retention of such Web Member Information in electromagnetic means, optical means, or in writing during the provision of the Service and for a certain period after its termination, after taking protective measures.
- Article 10 (Use of Web Member Information)
- Web Members agree that the Company may use the Web Member Information set forth in the previous article for the following purposes during the provision of the Service and for a certain period after the end of such provision.
- (1) To provide the Service (including shipping products, notifying users of matters necessary for operation, responding to inquiries from Web members, accepting Web member registrations, and verifying other Web member information)
- (2) To connect to other apps or services such as Facebook, or to share web member information
- (3) To share information about Web members when they use other services provided by our company.
- (4) To distribute and provide information about products, advertisements, services, coupons, events, etc. of the Company, its group companies (including parent companies, subsidiaries (subsidiaries are defined as those in Japan; the same applies below), and affiliated companies that have a direct or indirect capital relationship of 20% or more with the Company; the same applies below), and partner companies (companies that have entered into a business partnership agreement with the Company; the same applies below) (regardless of the means of distribution, such as behavioral targeting advertising or location-based advertising)
- (5) For the purposes of (i) collecting information for the purpose of developing new services and improving services for members, (ii) profile analysis using information such as members’ attributes, usage status of the Company, purchase data, trend data, statistical data, and web behavior data on the web (not limited to data obtained from the Company’s website), analysis using AI, etc., and (iii) providing information using (i) and (ii), conducting surveys, and other marketing activities
- (6) To advertise or promote the Company, its group companies, and partner companies, etc., to the extent and by means permitted by law, or to send, distribute, or display advertisements
- (7) To utilize retargeting functions such as remarketing advertisements using cookie information, etc.
- (8) To combine information we obtain from other sources with information provided to us by Web members and information we collect about Web members and use it for the purposes described in this section.
- (9) To create statistical data
- (10) To operate, manage, and improve the Service
- (11) To provide information regarding the interruption or suspension of the operation of this Service
- (12) To contact you regarding surveys and other matters related to the provision of various information, such as event information
- (13) To notify Web members of the new purpose of use and obtain their consent
- (14) To register, update, and confirm web member information
- (15) To respond to inquiries, etc.
- (16) To maintain the system and respond to malfunctions
- (17) To enable our company, our group companies, and partner companies to exercise their rights based on contracts, laws, regulations, etc.
- (18) To provide other services related to our company
- Article 11 (Contracted Work)
- The Company may entrust the personal information of Web members to other companies within the scope necessary for the achievement of the purpose of use described in the previous article. In such cases, the Company will select a contractor with a proper personal information protection system and will enter into a contract regarding the protection of personal information.
- Article 12 (Shared Use of Web Member Information)
- We may share the web member information we have acquired with our subsidiaries. The items of personal information to be shared, the scope of parties to share, the purpose of use, and the party responsible for management are as follows:
- (1) Items of personal information to be jointly used: Web member information acquired by our company
- (2) Scope of parties using the information jointly: Our subsidiaries
- (3) Purpose of joint use: Same as the purpose of use described in Article 10
- (4) Person responsible for management: Personal Information Management Officer at Aoyama Trading Co., Ltd.
- Article 13 (Provision of Web member information to third parties)

- 1. We will not disclose member information held by us to any third party except in the cases specified in each item of this paragraph, in the cases related to the use of the V Point Service in paragraph 2, in the cases related to the use of d Point Club in paragraph 3, and in the cases related to the use of Rakuten Points in paragraph 4.
- (1) When Web member information has been anonymized or has been abstracted through statistical processing
- (2) When the Web member has given his/her consent.
- (3) When disclosure is required by law
- (4) When the Company provides personal information to a third party pursuant to Article 12 or Paragraph 3 of this Article
- (5) When personal information is provided in connection with business succession due to a merger or other reasons.
- (6) When it is necessary to cooperate with a national government agency, a local government, or a person commissioned by them in carrying out duties prescribed by law, and obtaining the consent of the Web member may impede the performance of such duties.
- 2. The Company will provide the following Web member information to CCCMK Holdings Co., Ltd. (hereinafter referred to as "MKHD") regarding Web members who use the V Point Service in connection with this Service (hereinafter referred to as "V Point Service Web Members"). Web member information provided to MKHD will be handled in accordance with the Personal Information Protection Policy and T Membership Terms and Conditions established by MKHD.
- (1) Information that the V Point Service Web Member is a legitimate Web member of the Service
- (2) Number of V Points of Web members who use the V Point Service
- (3) Other information necessary for Web members who use the V Point Service to use the V Point Service.
- 3. The Company will provide the following member information regarding members who use the d POINT CLUB in connection with the Service (hereinafter referred to as "d POINT Members") to NTT DOCOMO, INC. (the operator of d POINTS; hereinafter referred to as "NTT DOCOMO"). Member information provided to NTT DOCOMO will be handled in accordance with the privacy policy established by NTT DOCOMO and the respective terms and conditions of the d POINT CLUB.
- (1) Information that the d point member is a legitimate member of the Service
- (2) Number of d points for d point members
- (3) Other information necessary for d point members to use the d point club
- 4. With regard to members (hereinafter referred to as "R Point Members") who use Rakuten Points (hereinafter referred to as "R Point") in connection with the Service, the Company will provide the following member information to Rakuten Group, Inc. (the operator of R Point; hereinafter referred to as "Rakuten Group"). Member information provided to the Rakuten Group will be handled in accordance with the Personal Information Protection Policy and the respective terms and conditions of R Point as stipulated by the Rakuten Group.
- (1) Information that the R Point Member is a legitimate member of this service
- (2) Number of R Points of R Point Members
- (3) Other information necessary for R Point members to use R Points.
- 5. We may (i) provide member information acquired by us to third parties involved in the distribution of advertisements for our or third parties' services, products, etc. distributed on websites or apps established by us in order to enable them to determine what kind of advertisements, information, services, etc. would be effective to post or provide to members, or (ii) provide member information acquired by us to our group companies or affiliated companies, etc. in order to deliver information, advertisements, or provide services that are beneficial to members, tailored to the members' attributes (gender, age, area of residence, occupation, etc.) and interests, etc.
- 1. We will not disclose member information held by us to any third party except in the cases specified in each item of this paragraph, in the cases related to the use of the V Point Service in paragraph 2, in the cases related to the use of d Point Club in paragraph 3, and in the cases related to the use of Rakuten Points in paragraph 4.
- Article 14 (Use of Cookies)
- Because we use retargeting functions such as remarketing ads that use cookie information, advertisements for us and our business partners may be posted on various websites on the Internet by third-party distributors including Google and Facebook based on records of access to our website or the Service. In addition, these third-party distributors may provide various advertisements based on records of access to our app or website. Cookie information is used within the scope described on each third-party distributor's website, based on the privacy policy of each third-party distributor. Web members can disable the use of cookie information by accessing the opt-out page on each third-party distributor's website.
- Article 15 (External Services)

- Article 16 (Sending and Cancellation of Emails (including Direct Mail))
- Web members agree in advance that the Company may send them emails (including email newsletters and advertising emails) and direct mail to the extent necessary to achieve the purpose of use set forth in Article 10. However, Web members may, at their request, stop sending them emails (excluding emails containing communications necessary for the operation of the Service) and direct mail.
- Article 17 (Special Provision of Benefits and Services)

- 1. If a Web member does not have their membership card with them, they may be able to receive some of the benefits and services (discounts, points, optimal size suggestions, etc.) by verifying their name, date of birth, and telephone number at the store.
- 2. If, following the confirmation in the preceding paragraph, we disclose to a visitor any information necessary for us to provide various services, we shall not be held responsible for the disclosure of such information.
- Article 18 (Disclosure, Correction, and Deletion of Personal Information)

- 1. Web members may request disclosure of objective facts among the personal information of the Web members held by the Company pursuant to Article 9, by the method specified by the Company. However, requests for information added by the Company, disclosure, suspension of use, deletion, and suspension of provision to third parties cannot be accommodated if there is a risk of causing significant hindrance to the proper implementation of the Company's business.
- 2. If a request for disclosure under the preceding paragraph reveals that the personal information of the Web member in question is inaccurate or incorrect, the Company shall promptly correct or delete the information within a reasonable period of time.
- 3. If the Company is required by law or other regulations to disclose Web member information, the Company will comply with such instructions.
- Article 19 (Inquiries and Notification of Changes to Personal Information)

- Article 20 (Loss of Web Member ID)
- If a Web Member loses the ID loaned to them by our company, they must contact our company immediately.
- Article 21 (Withdrawal, Cancellation of Web Membership, and Suspension of Service)

- 1. When a Web Member wishes to cancel his/her membership in the Service, he/she shall notify the Company. In addition, all expenses incurred in canceling the membership (such as communication fees for notifying the cancellation) shall be borne by the Web Member.
- 2. If a Web Member falls under any of the following items, the Company shall immediately suspend the use of the Service by the Web Member without notice or warning, and cancel the Web Member's Web membership. In this case, the Web Member shall promptly return the loaned ID and password to the Company.
- (1) If a false statement is made when applying for membership
- (2) If you violate any provision of these Terms and Conditions.
- (3) If the whereabouts of the Web Member become unknown due to reasons attributable to the Web Member, such as failure to notify a change of address, and it is determined that it is impossible to notify or contact the Web Member.
- (4) When a Web Member dies (however, in this case, this will occur when the Company becomes aware of the death of the Web Member).
- (5) If the use of the services provided by our company is deemed to be inappropriate.
- (6) When a Web member requests the deletion of his/her personal information and the Company deletes it.
- (7) If you are otherwise deemed ineligible to be a Web Member.
- 3. Points held by a Web member who has withdrawn from the service or whose membership has been cancelled shall expire at the same time as the withdrawal or cancellation of the Web member. The Company shall not be held liable for any disadvantage suffered by the Web member as a result of this.
- Article 22 (Prohibited Acts)

- 1. The Company prohibits Web members from engaging in the following acts when using the Service:
- (1) Any act that interferes with the operation of the Service or any act that slanders or libels the Service
- (2) Buying, selling, lending, transferring, or pledgeing to a third party the status of a Web Member or the rights acquired through the Service
- (3) Transferring or pawning points to other Web members, or sharing points among Web members
- (4) Using the Service to advertise, sell, solicit, or provide any other commercial information without our prior consent
- (5) Any act that infringes the copyright or other rights of the Company or a third party.
- (6) Any act violating the property or privacy of the Company or any third party.
- (7) Criminal acts or acts that violate public order and morals
- (8) Using the functions of the Service to send false information about the Service (including information that misleads others into believing that our products and services are better than they actually are)
- (9) Using the functions of the Service to send information that libels, slanders, or damages the reputation of products or services of our rival companies
- (10) Unauthorized viewing or use of third party web member information
- (11) Any act of infecting another person with a computer virus, etc.
- (12) Any act violating laws and regulations
- (13) Any act violating these Terms of Use.
- (14) Any act that may fall under any of (1) to (13) above.
- (15) Any other act that the Company deems inappropriate
- 2. If the Company determines that the actions of a Web member fall under any of the prohibited actions set forth in the preceding paragraph, the Company will immediately suspend the Service without prior notice to the Web member. In such cases, the Company will not disclose the reason for the suspension.
- 1. The Company prohibits Web members from engaging in the following acts when using the Service:
- Article 23 (Changes to these Terms, etc.)
- The Company may change, add, delete, etc. these Terms of Use (hereinafter referred to as "Changes to these Terms of Use") without obtaining prior consent from the Web Member. In such cases, the Company shall not be liable for any lost profits incurred by the Web Member as a result of the Changes to these Terms of Use.
- Article 24 (Changes to the Service, etc.)

- 1. We may change, suspend or terminate the name and/or content of the Service in whole or in part, regardless of the reason, without prior notice to Web Members.
- 2. In the event of a natural disaster, incident or other emergency occurring or likely to occur, or in the event of a breakdown, malfunction or failure of telecommunications equipment installed by us or our contractors or other unavoidable circumstances, our company may, at its discretion, immediately suspend all or part of the Service without prior notice to Web members.
- 3. The Company shall not be liable for any damages or lost profits suffered by Web members as a result of any change, interruption or suspension of the Service based on this Article.
- Article 25 (Intellectual Property Rights)

The Web Member shall acknowledge that the intellectual property rights pertaining to the content provided through this Service and the characters, graphics, logos, images, photographs, resources, digitally downloaded materials, edited data, etc. used in this Service belong to either our company, the software developer, or the content provider, and are protected by law.
- 2. If a dispute over intellectual property rights arises between the Company, the software developer, or the content provider as a result of violation of the provisions of the preceding paragraph, the Web member shall resolve the issue at his/her own responsibility and expense and shall not cause any damage to the Company, the software developer, or the content provider.
- Article 26 (License to Use the Service)
- The Company grants to Web Members a non-exclusive, personal right to use the Service.
- Article 27 (Handling of Content)
- Web members are prohibited from reproducing, duplicating, copying, selling, reselling, modifying, altering, making secondary use of, or otherwise deciphering the source code of, the content provided through this service by means of reverse engineering, disassembly, or otherwise transferring or sublicensing the content.
- Article 28 (Disclaimer)

- 1. The Company shall not be liable for any of the following matters:
- (1) If a Web Member causes damage to other Web Members or a third party through the use of the Service
- (2) If a Web Member suffers damage due to an inability to use the Service or due to reasons not attributable to the Company in relation to the use of the Service.
- 2. The Company does not guarantee that the Service will be compatible with or usable on all terminal devices, etc. prepared by Web members.
- 1. The Company shall not be liable for any of the following matters:
- Article 29 (Points Balance)

- 1. Web Members can view their own point balance through this Service. Points cannot be exchanged using this Service. Please note that there may be a time lag in reflecting the point balance viewed through this Service.
- 2. If the Web Member has any doubts regarding the number of points awarded, he/she shall immediately contact the Company and explain the reasons therefor.
- 3. The final decision regarding the number of points shall be made by our company, and the Web Member shall comply with this.
- Article 30 (Communication Fees)
- The costs of packet communication and other charges incurred in using this service shall be borne by the Web member.
- Article 31 (Compensation)
- Any complaints or claims arising from a breach of these Terms or infringement of third party rights by a Web Member shall be resolved by the Web Member at his/her own responsibility and expense. Furthermore, if the Company incurs damages in connection with responding to such complaints or claims, the Web Member shall compensate for such damages.
- Article 32 (Governing Law)
- These Terms and Conditions shall be governed by Japanese law.
- Article 33 (Jurisdiction)

- 1. If any matter not stipulated in these Terms and Conditions or any doubts arise regarding the contents of these Terms and Conditions, the Web Member and our company shall negotiate in good faith to resolve the matter.
- 2. If the matter cannot be resolved through negotiation and litigation becomes necessary, the district court having jurisdiction over our head office location shall be the exclusive court of first instance.
- Article 34 (Inquiries)
- For inquiries regarding this service, please refer to the following. Depending on the content of your inquiry, it may take several days to respond or we may not be able to respond at all. In such cases, we will not notify or disclose the reason.
